Terms

The terms on which McGinn Publishing accepts work and supplies software.

Last updated 18 November 2025

Scope

These terms govern work supplied by McGinn Publishing Ltd.. Client-specific terms — including price, scope, acceptance criteria and service levels — are set out in the signed statement of work for each engagement, which takes precedence over anything on this page.

These terms are a demonstration document prepared for a demonstration build, not a reviewed contract. Do not rely on them.

How we are engaged

We work on a fixed-price, phase-by-phase basis. Each phase begins with a written scope naming the deliverables and the acceptance criteria. Anything outside that scope is quoted separately before work starts.

We do not bill hourly for a fixed piece of work. Where a project's shape genuinely cannot be defined up front, we propose a time-boxed discovery phase and a fixed price for whatever follows it.

Acceptance

A phase is accepted when the client confirms the deliverables in writing against the acceptance criteria stated in the statement of work. If no written acceptance is given within ten working days of delivery, the phase is deemed accepted.

Intellectual property

On full payment, ownership of the bespoke deliverables — source code, component libraries, design files and documentation created for the engagement — transfers to the client.

We retain ownership of our pre-existing tooling, general know-how, and any generic patterns or utilities developed independently of the engagement. We grant the client a perpetual, royalty-free licence to use those as embedded in the delivered work.

Third-party and open-source components remain under their own licences, which we list on request.

Support and hosting

Post-launch support is either a handover to the client's own team, documented at the end of the engagement, or a managed retainer with a contracted response window and named engineers. Retainer scope, response times and monthly fees are set out in the retainer agreement.

Liability

We maintain professional indemnity and public liability insurance and can provide certificates on request. Our aggregate liability under any statement of work is capped at the fees paid under that statement of work, save for liability that cannot lawfully be limited.

We are not liable for indirect or consequential loss, including loss of profit, revenue or data, to the extent permitted by law.

Governing law

These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

Questions

This is a demonstration document for a demonstration build, written to show how editorial pages are structured. In a live deployment this would be reviewed by your counsel. For anything real, write to hello@mcginnpublishing.com.
